The Parasol Insurance, Lead and Call Transfer Agreement ("Master Agreement" or "Master Terms and Conditions"), Privacy Policy, DMCA Policy, Disclaimer, Anti- Spam Policy, End-User License Agreement and FTC Compliance Policy are incorporated in their entirety into these Terms & Conditions and govern the User's use of the Parasol Insurance website, platform and services.

5.Term; Termination.

We reserve the right to investigate complaints or reported violations of these Terms of Service and Conditions of Use and to take any action we deem appropriate, including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any data necessary or appropriate to such persons or entities relating to your profile, email addresses, usage history, IP addresses and traffic data.

The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 2 (Use of the Service), 3 (Indemnification), 4 (Third Party Rights), 6 (Hiring an Attorney / No Attorney-Client Relationship), and 7 (Miscellaneous) shall survive any termination of this Agreement, in whole or in part.

6. Hiring an Investment Advisor, Attorney, or Medical or Other Professional / No Attorney-Client Relationship or Fiduciary Capacity.

Choosing a lawyer, doctor, or investment advisor is a serious matter and should NOT be based solely on data contained on our website or in advertisements.

7. Miscellaneous.

Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of NEVADA. You agree that any action including mediation and/or arbitration must be brought in Washoe County, Nevada. Accordingly, it shall be governed and construed in accordance with the laws of NEVADA in terms of those applicable to agreements, without regard to conflict of law principles.

Dispute Resolution

The Parties hereto agree that any and all disputes, controversies or claims to be resolved between the Parties arising out of or relating to this Agreement or any breach or threatened breach thereof shall be resolved as follows:

(a) Initially the dispute/disagreement etc. must first be submitted to mediation to be held in Washoe County, Nevada. The mediator shall be mutually selected from the neutral panel from either JAMS or ADR Services.

(b) In the event the Parties to the mediation are unable to agree on a resolution of said dispute, then the Parties agree to submit the dispute to final and binding arbitration conducted at a location determined by the arbitrator in Washoe County, Nevada, administered by and in accordance with the then existing Rules of Practice and Procedure of either Judicial Arbitration & Mediation Services, Inc. (JAMS) or ADR Services, Inc. (“ADR”), and judgment upon any award rendered by the arbitrator may be entered by any State or Federal Court having jurisdiction thereof. Either Party may commence such proceedings by giving written notice to the other Party. Upon filing a demand for arbitration, all Parties in the arbitration will have right of discovery as provided under the Nevada Code of Civil Procedure Section 2016 et seq., and the Parties agree that in the event of an arbitration, disputes as to discovery shall be determined by the arbitrator and such discovery shall be completed within sixty (60) days after the demand for arbitration is made, unless further extended by mutual agreement of the Parties or the arbitrator. The arbitrator in any such proceeding shall be a retired judge and shall apply Nevada substantive law and the Nevada evidence law to the proceeding. The arbitrator shall have the power to grant all legal and equitable remedies and award damages provided by Nevada law. At the request of any Party, a court reporter shall attend and transcribe the arbitration proceeding. The cost of the court reporter shall be paid by the Party requesting the same. The arbitrator shall prepare in writing and provide to the Parties an award including factual findings and reasons on which the decision is based. The arbitrator shall not have the power to commit errors of law or legal reasoning, and the award may be vacated or corrected pursuant to Nevada Code of Civil Procedure Sections 1286.2 or 1286.6 for any such error. The prevailing party in any such proceeding shall be entitled to recover his, hers or its costs and expenses (including reasonable attorney’s fees and the costs of the court reporter) incurred in preparation for and prosecution of such proceeding and enforcement of or securing recovery under any order or judgment rendered therein. If required by the arbitrator, all fees and costs payable to JAMS or ADR prior to determination of the dispute shall be paid one-half by each Party to this arbitration with reimbursement to be made pursuant to the immediately preceding sentence. The Parties hereto hereby submit to the jurisdiction of the courts of the State of Nevada for the purpose of enforcement of this Agreement to arbitrate and any and all awards or orders rendered pursuant thereto (including without limitation the provisions of the immediately preceding two sentences). Should any Party seek a provisional remedy to enforce such Party’s rights under this Agreement, such action shall be brought in the Superior Court of Nevada for the County of Washoe (“Superior Court”) pursuant to Nevada Code of Civil Procedure Section 1281.8. The Superior Court in such action shall apply Nevada substantive law. The prevailing party in any such action shall be entitled to recover its costs and expenses (including reasonable attorneys’ fees) incurred in preparation for and prosecution of such action and enforcement of or securing recovery under any order and/or judgment rendered therein. The Parties hereto hereby submit to the jurisdiction of the Superior Court for the purpose of securing such provisional remedies to enforce this Agreement and any and all orders and judgments rendered pursuant thereto (including without limitation the provisions of the immediately preceding sentence).

(c) The arbitrator may not change or modify the terms of this Agreement without the written consent of the Parties.

Modification

Neither the course of conduct between the parties nor industry trade practice shall act to modify any provision of this Agreement.

Assignability

Parasol Insurance may assign its rights and duties under this Agreement to any party at any time without notice to you.

Severability

If any part of this Agreement shall be held to be invalid or unenforceable, that portion shall be construed as much as possible consistent with applicable law and severability shall apply to the remaining portions, so that they remain in full force and effect.

This Agreement Prevails

To the extent that anything in or associated with our website is in conflict or inconsistent with this Agreement, the terms of this Agreement shall take precedence.

Waiver

Failure to enforce any provision of this Agreement shall not be deemed a waiver of the provision nor of the right to enforce the provision.

Any rights not expressly granted herein are reserved to ParasolInsurance.net.

Binding Effect

The provisions of this Agreement shall be binding upon and inure to the benefit of the personal representative, successors and assigns of the Parties hereto.

Reporting All reporting will be tracked in Parasol Insurance Platform – Buyer agrees to pay based on Parasol Insurance reporting platform.
Buyer agrees to allow Parasol Insurance access to recordings of calls for optimization purposes.

Billable Calls

Duration starts when the call is connected to Buyer’s system (not when agents answer the phone)

Client Obligation

Notwithstanding any terms or provisions of the Standard terms of Sale (referenced below) to the contrary, this Request Form may not be canceled or otherwise terminated by Buyer. This offer may be canceled or paused within 72 hours (3 business days) of notification.

Buyer is still responsible for calls that go billable due to long hold times and overstated call concurrency allowances. Buyer is responsible for calls that fail due to lack in communication of their hours, change of locations or holiday hours, or any office closures (meetings, etc.).

Any payout/rate, locations, hours, caps, etc. must be requested in writing via email confirmation to support@parasolinsurance.net copy to sales@parasolinsurance.net

Contractual Obligation

This Buyer Service Request Form, and all services to be performed by Parasol Insurance, hereunder, are governed by the existing Standard Terms of Sale (the “Agreement”) in place between Buyer and Parasol Insurance. Request Form. Both persons signing below hereby (a) agree to the terms listed above, (b) ratify the terms of the Agreement as being applicable hereto, (c) acknowledge that such terms supersede any conflicting terms in any other purchase order, master services agreement or other arrangement including electronic agreements between Parasol Insurance and Buyer, and (d) confirm that they have the full authority to do so on behalf of the party for whom they are signing Parasol Insurance is a call broker that will deliver calls within the scope of a vertical the Buyer requires based on the insertion order (IO). Parasol Insurance makes no guarantees on sales based on the leads it generates. Buyers and their agents are required to sell their products/services.
